1. Agreement
1.This Agreement is an agreement between CloudT users (including the individuals who use it and the enterprises they represent) and the CloudT operating company Guangdong Tianxin Tiansi Software Co., Ltd. The user's registration for the CloudT service means that he accepts the constraints of this Agreement, and automatically When the registration is successful, it becomes a party to this agreement. The paid version user signs this agreement and sends it back (including the use of fax, email and other electronic communication means) to Cloud T, which means that he accepts the billing and payment agreement in this agreement, and sends it out. be bound by those agreements at the time of the agreement.
2.This agreement is governed by the laws of the People's Republic of China, and the contract signing place is Shanghai.
3.Please be sure to carefully read and fully understand the contents of each agreement, especially the agreement to exempt or limit liability, dispute resolution and applicable law agreements. Agreements that exempt or limit liability may be displayed in bold, and you should read them carefully.
Hereinafter, "Cloud T" refers to the application platform "Cloud T" (including but not limited to Cloud T webpage, Cloud TApp and Cloud T WeChat applet) or its operating company, Guangdong Tianxin Tiansi Software Co., Ltd., which is also a contracting party to this Agreement. one.
2. Account management
1.CloudT users should submit true, accurate and complete information when registering an account, and must not violate national laws and regulations and this agreement.
2.The ownership and related rights and interests of the CloudT account belong to CloudT, and the CloudT user shall not transfer or provide the CloudT account used by others in any way, otherwise the CloudT has the right to withdraw the account immediately without notice. All data, information, etc. caused by the use of the Cloud T products by the Cloud T users are emptied or lost, and the Cloud T users shall be responsible for the losses.
3.CloudT users shall be responsible for all actions under their CloudT account, including any content published and any consequences arising therefrom. CloudTrack does not assume any responsibility for the content uploaded, stored or shared by users using CloudTrack services.
4.Cloud T users can cancel their accounts through the methods described in "Cloud T Privacy Policy".
5.The act of canceling the CloudT account by the CloudT user will cause the CloudT to terminate the provision of services, and will also terminate the external portal services provided to the CloudT user. After the logout is successful, CloudT will delete the user's personal information, keep it in a state that cannot be retrieved or accessed, or anonymize it. If the cloud T user still insists on canceling the account, the account must meet the following conditions at the same time: 1) There are no assets or arrears in the cloud T account; 2) There are no functions/services that have been provided but not paid for; 3) The account is an account in normal use and there is no record of any account restrictions; 4) There are no disputes under the account, including complaints and reports; 5) The account has been released from binding with other third-party accounts.
6.During the cancellation of the CloudT account, if the user’s CloudT account is involved in disputes, including but not limited to complaints, reports, lawsuits, arbitrations, investigations by competent state agencies, etc., CloudT has the right to terminate the cancellation of the account at its own discretion. There is no need to obtain the consent of Cloud T users.
7.Cloud T users must unbind other relevant third-party accounts before submitting the cancellation application. For details, please contact our customer service.
8. Once the CloudT account is cancelled, it cannot be recovered. CloudT users are requested to back up all account-related information and data before operation. After canceling the cloud T account, the cloud T user will no longer be able to use the cloud T account, and will not be able to retrieve any content or information related to the user's cloud T account (even if the same mobile phone number is used to register and use the cloud T again) software), including but not limited to:
1) Unable to log in and use the cloud T account; 2) The personal data and historical information of the cloud T account will not be retrieved; 3) All records of the APP or WeChat applet of YunT who log in through the YunT account will not be retrieved. Cloud T users should understand and agree that Cloud T cannot assist in restoring the aforementioned services.
9.The cancellation of this cloud T account does not mean that the user's behavior and related responsibilities under the account before the cancellation of this cloud T account are exempted or mitigated.
3. Legal use
1.CloudT services are limited to providing customers with normal and legal business tools. If customers use CloudT products to engage in the following behaviors, it will lead to a fundamental breach of contract. CloudT has the right to stop the service, cancel this agreement at any time, and recover the resulting damages. Loss to come: 1) The customer uses Cloud T for business that violates the law; 2) Any form of sublicensed use, sale or transfer of CloudT products to other third parties; 3) Perform any form of reverse engineering on cloud T products for the design and development of competitive products, or copy and imitate the design of cloud T in competitive products; 4) Abusing the communication function of cloud T products to send spam and text messages; 5) Other behaviors that damage the continuous service and goodwill of CloudT, including attacks on the servers of CloudT.
2.Cloud T uses the mobile phone number owned by the customer as the unique identification information of the user certificate. When the customer no longer has the mobile phone number registered with CloudT, CloudT has the right to terminate the service, and the customer can also continue to use the CloudT service by changing the mobile phone number.
3.CloudT users must bear legal responsibility for their online speeches and behaviors. If they spread and disseminate reactionary, pornographic or other information that violates national laws on CloudT products, the company's system records may be regarded as cloudT users who violated the law. legal evidence.
4.This usage agreement is formulated in accordance with the relevant national laws, regulations and rules. CloudT users agree to strictly abide by the following obligations: (1) Do not use CloudT products to engage in illegal and criminal activities such as money laundering, stealing business secrets, and stealing personal information; (2) Not to interfere The normal operation of CloudT products shall not allow CloudT products and the national computer information system; (3) shall not transmit or publish any illegal, harassing, slanderous, abusive, threatening, harmful, vulgar (4) Do not instigate others to engage in illegal or illegal behaviors or behaviors prohibited by this use agreement; (5) Do not use the account registered in CloudT for profit-making business activities; (6) Do not publish any Content that infringes on other people's personal information, copyright, trademark rights and other intellectual property rights or legal rights;
5.Unless permitted by law or with the written permission of the company, the following behaviors shall not be performed during the use of CloudT products: (1) Deletion of copyright information on CloudT products and their copies; (2) Reverse engineering of CloudT products, Reverse assemble, decompile, or try to discover the source code of CloudT products in other ways; (3) Use, rent, lend, copy, modify, link, reprint, assemble, and publish the content with intellectual property rights owned by CloudT , publishing, establishing mirror sites, etc.; (4) For cloud T products or the data released into any terminal memory during operation, the interaction data between the client and the server during operation, and the system data necessary for the operation of cloud T products , copy, modify, add, delete, hook up or create any derivative works, including but not limited to using plug-ins, plug-ins or third-party tools/services not authorized by Cloud T to access Cloud T products and related systems; ( 5) By modifying or falsifying the instructions and data in the operation of the CloudT product, adding, deleting, or changing the function or operating effect of the CloudT product, or operating or disseminating the software and methods used for the above-mentioned purposes to the public, regardless of these Whether the behavior is for commercial purposes; (6) Log in to or use CloudT products and services, or create, publish, and disseminate the above tools through third-party software, plug-ins, plug-ins, and systems not developed and authorized by CloudT; (7) by themselves or Authorize others and third-party software to interfere with Cloud T products and their components, modules, and data.
6.CloudT users are not allowed to produce, transmit or publish the following illegal information: those that oppose the basic principles established by the Constitution; those that endanger national security, divulge state secrets, subvert state power, and undermine national unity; those that damage national honor and interests; those that distort, Those who vilify, blaspheme, deny the deeds and spirits of heroes and martyrs, insult, slander, or infringe upon the names, portraits, reputation, or honor of heroes and martyrs; promote terrorism, extremism, or incite terrorist or extremist activities; incite ethnic groups hatred, ethnic discrimination, undermining ethnic unity; undermining national religious policies, propagating cults and feudal superstitions; spreading rumors, disrupting economic and social order; spreading obscenity, pornography, gambling, violence, murder, terror or instigating crimes; Insulting or slandering others, infringing on their reputation, privacy and other legitimate rights and interests; other content prohibited by laws and administrative regulations.
7.Cloud T users must prevent and resist the production, copying, and publishing of bad information containing the following content: using exaggerated titles, the content is seriously inconsistent with the title; hyping scandals, scandals, bad deeds, etc.; improperly commenting on natural disasters, major accidents and other disasters those that are prone to sexual associations such as sexual innuendos and provocations; those that show blood, horror, cruelty, etc. that cause physical and mental discomfort; those that incite crowd discrimination, regional discrimination, etc.; those that promote vulgar, vulgar, and kitsch content; Causes minors to imitate unsafe behaviors and behaviors that violate social morality, induce minors to have bad habits, etc.; other content that has a negative impact on the network ecology.
4. Ownership of data and programs
1.The original data created by the user on the CloudT platform belongs to the customer, and the customer has the right to dispose of it in any form, including copying, exporting and deleting from the platform.
2.Unless otherwise stated in writing, the content, charts, layout designs, web pages, text, and pictures of CloudT’s website, applications, source code, LOGO, interface design, application programming interface (API), and CloudT products , images, colors, maps, icons, audio, video, electronic documents, data materials, etc., as well as the infrastructure and platforms used to develop, maintain, and operate the above content and information, including but not limited to software, websites, applications and other All intellectual property rights associated with source code, system data, etc. (including but not limited to patent rights, copyrights, trademark rights, trade secrets and property rights to data) belong to Guangdong Tianxin Tiansi Software Co., Ltd.
5. User Privacy
1.Cloud T should do its best to protect the security of user data from the perspective of organizational structure and technology, and distribute user information only according to the user's behavioral instructions on the website. Cloud T will never provide specific data generated by users to any unrelated third parties.
2.CloudT reserves the right to use aggregated statistical information, which should be anonymous and not specific to specific users.
3.CloudT reserves the right to publish advertisements for free mode users. Necessary targeting technologies may be used to improve the relevance of advertisements in the process of publishing these advertisements. However, CloudT will not disclose users' personal information to advertisers, but will only On the basis of anonymity, the advertisement is optimized and published through automatic matching technology.
4.If YunT users want to exercise their personal information rights, or want to know how YunT handles their personal information, please read the "Cloud T Privacy Policy" carefully. Yun T will collect data in accordance with this agreement and the "Cloud T Privacy Policy". , use, share, store and protect the personal information of CloudT users. If this agreement does not clearly stipulate the relevant content of personal information protection, the content of the "Cloud T Privacy Policy" shall prevail.
5."Cloud T Privacy Policy" constitutes an integral part of this use agreement.
6. Service Continuity
1. CloudT will do its best to ensure the continuous and reliable operation of the software platform. For users of the paid version, CloudT promises a normal online rate of more than 99%. If it is lower than this ratio, CloudT is obliged to provide customers with services according to the proportion of service interruption time. The corresponding service fee will be refunded, and the customer understands such compensation. Cloud T does not provide any compensation to free mode users.
2. CloudT will do its best to ensure the safe backup of customer data. For paid version users, CloudT promises to restore data from the latest backup at the fastest speed when any user data is damaged due to server storage devices, but We cannot promise 100% data recovery, and we are not responsible for other joint or indirect losses caused by data loss.
3.When it is necessary to restore data from backup files, Cloud T usually takes 4 hours to complete, with a maximum of 48 hours. Data recovery within this time range is regarded as a continuous service.
7. Limitation of Liability
1.The Services will be provided on an "as is" and "as available" basis. CloudT hereby expressly declares that, except as expressly stipulated in this agreement, CloudT does not make any express or implied warranties for the service, including but not limited to the applicability, accuracy, continuity, reliability of the service, error-free service or omissions etc.
2.In any case, Cloud T will not be unable to service or delay service due to network connection failure, computer or system failure, power failure, strike, riot, fire, flood, explosion, war, government action, epidemic, etc. assume any responsibility.
3.Cloud T is not liable for any indirect, punitive, sudden damage or loss of profits.
4.CloudT does not assume any responsibility for data loss, deletion or damage due to the user's violation of this agreement, the requirements of laws and regulations, the user's failure to perform payment obligations, or the user's account cancellation, and the user shall be responsible for backing up the data.
5.To the extent permitted by law, CloudT is due to: (1) CloudT products are damaged by computer viruses, Trojan horses or other malicious programs, and hacker attacks; (2) CloudT users operate improperly or users pass non-cloud Use this service in a way authorized by T; (3) Outdated program version, aging of equipment and/or its compatibility issues; (4) Other circumstances beyond the control or reasonably foreseeable of Cloud T, resulting in interruption or termination of Cloud T services, shall not be Liability.
8. Third-party products and services
In the process of providing services to users, CloudT may access third-party products or services, and the products or services are provided by third parties other than CloudT. To the extent permitted by law, CloudT assumes no responsibility for third-party products or services. Users are subject to the terms of use and privacy policies of all third-party products or services.
9. Breach of contract and compensation
1.If CloudT users violate this agreement, CloudT has the right to take appropriate measures according to independent judgment, including but not limited to deleting or blocking content at any time, or suspending the provision of some or all services to users.
2.If the user violates relevant laws and regulations, CloudT has the right to take appropriate legal measures, save relevant information in accordance with the requirements of relevant laws and regulations, report to relevant authorities, and cooperate with relevant authorities in their investigations.
3.The user shall be fully responsible for any claim, demand or loss caused by the user's breach of this agreement or other terms that should be complied with. The user shall also be fully liable for any loss caused to the cloud T or related parties and other subjects.
10. Billing and Payment
1.The number of users limited in the cloud T paid version user package refers to the number of users in the customer network.The total number of all effective users, including normal users, users who have been blocked, removed, and suspicious but have logged in in the current month, and users who are normally closed after the employee leaves the company and who have not actually logged in are not counted.
2.The customer should pay the price in a timely manner in accordance with the payment obligations stated in this order. The system will stop the service after the user overdue payment of the bill for more than 30 days, and the user's setting parameter data under the paid version may be lost or restored to the default settings. Even after the paid version service is stopped, any unpaid bills will be regarded as the customer's arrears. CloudT reserves the right to recover the arrears and late payment fees. The late payment fee will be calculated according to the number of days in arrears and five ten thousandths of the arrears amount per day. receive.
11. Paid version service termination
After the cloud T license period expires, if you fail to purchase the renewal package in time, the paid version will be automatically terminated. If the user needs to continue to use the cloud T paid version, he needs to sign a renewal order at least three working days before the authorization expires.
12. Amendment to the Agreement
1.CloudT has the right to revise the agreement of this agreement at any time, and update it on the CloudT website one working day before the revision takes effect.
2.CloudT has the right to revise the pricing of the paid version and notify all paid version users one month before the effective date of the revision.
3.The revised agreement is always published in: "Cloud T Terms of Use"
13. Dispute Resolution
In the event of a dispute over the interpretation or implementation of this Agreement, both parties shall first strive to resolve the dispute through friendly negotiation. If the dispute cannot be resolved through negotiation within 60 days after a party has served the other party with a written notice requesting the start of negotiations, either party may submit the dispute to the China International Economic and Trade Arbitration Commission Shanghai Subcommittee, in accordance with its then-effective rules arbitration. Arbitral awards are final, binding on the parties and not subject to appeal. The cost of arbitration shall be borne by the losing party, unless the arbitration award provides otherwise. When any dispute arises and when any dispute is arbitrated, the parties shall continue to exercise their other rights under this Agreement and perform their other obligations under this Agreement, except for the matters in dispute.
